Terms of Service
The terms that apply when you use Orbyt and buy software here.
Last updated 2026-10-16
Demonstration draft β prepared October 15, 2026. These proposed terms are provided for Orbyt's development, business planning and financing demonstrations. They have not been finalized for commercial launch. The operating business's legal name, business address, effective date and applicable legal requirements must be confirmed before these terms are put into effect. Displaying this sample does not represent that Orbyt has obtained business licenses, professional approval or authorization to process live transactions.
1. About Orbyt and these terms
Orbyt is a marketplace for software, digital products, hosted applications and related services. Some offerings are supplied by Orbyt, while others are supplied by independent sellers identified in their listings. These Terms of Use describe the proposed rules for using the marketplace, managing an account and purchasing access through Orbyt.
In these terms, "Orbyt," "we" and "our" refer to the business operating the platform. "You" means the person using the platform or the organization that person is authorized to represent. The operator's formal legal identity and business contact details will be stated in the final terms before commercial launch.
Once these terms are finalized and presented for acceptance, creating an account or completing a transaction requires agreement to the version presented at that time. A demonstration page or test transaction does not itself establish a paid production service.
2. Who may use the platform
You must be at least 18 and legally able to enter a contract to create an account or make a purchase. If you act for a business or other organization, you must have authority to bind that organization and manage its purchases and members.
Provide accurate account and billing information and keep it current. Do not impersonate another person, misrepresent your authority or use an account to conceal prohibited activity. Access may depend on verification, product availability and restrictions that apply to your location or intended use.
3. Accounts, teams and account icons
Keep passwords, API keys, license keys and other access credentials secure. Tell Orbyt promptly if you suspect unauthorized access. You are responsible for activity you authorize and for taking reasonable steps to protect your account; this does not remove any rights you have concerning unauthorized charges or a failure by Orbyt to meet its legal duties.
An organization owner or authorized administrator may invite members, assign seats and manage organization access. Only share access through the membership and seat features provided for that purpose. You are responsible for obtaining permission before adding another person's information or purchasing on an organization's behalf.
You may use initials, a supplied avatar or a photo as your account icon where available. Upload only an image you have the right to use. Do not upload an impersonating, unlawful or abusive image. Selecting a platform avatar does not transfer ownership of its artwork to you.
4. Listings and the parties supplying a product
Read the product page and checkout information before purchasing. Check the publisher, delivery method, supported environment, license scope, seats, price, billing interval and support arrangements. A downloadable product, an Orbyt-hosted application and an externally hosted seller application may have different requirements.
Orbyt administers marketplace accounts and the checkout and order features it provides. Independent sellers remain responsible for the products, descriptions and support commitments they supply. The identity of the contracting merchant and any separate provider terms must be disclosed before payment. Nothing in these terms removes responsibilities the law places on Orbyt or the seller.
Product availability and future offers may change. A later listing change does not automatically rewrite the terms of an existing purchase. If an order cannot be fulfilled, we will communicate the available correction, cancellation or refund options, subject to applicable law.
5. Orders, prices and payment
Review the order total, currency, taxes and any disclosed charges before confirming payment. You authorize the payment described at checkout using a payment method you are entitled to use. For recurring plans, your authorization also covers the recurring charges expressly disclosed when you subscribe.
Order confirmation, successful payment and access activation may occur at different times while payment or security checks are completed. A failed, reversed or unconfirmed payment may delay activation. If there is a material pricing or listing error, we may pause the affected order and explain the correction or refund options rather than charge an undisclosed amount.
Payment services may be supplied by Stripe or another provider identified during checkout. Provider terms may apply to those payment services. A payment provider is not the publisher of a product merely because it processes the payment, and using that provider does not imply that it endorses Orbyt or a seller.
6. Subscriptions, renewal and cancellation
A recurring plan renews on the billing schedule disclosed at checkout unless cancelled or otherwise ended. One-time purchases are not recurring subscriptions unless a separate recurring service is clearly selected.
Where an account cancellation control is available, use it to stop renewal. If it is unavailable or you cannot access your account, contact support promptly with your order or subscription reference. Cancellation normally stops the next renewal and leaves access available until the end of the already-paid period, as shown in your subscription details. Different treatment must be disclosed for the particular plan or required by law.
Cancellation does not, by itself, decide whether a payment must be refunded. Refund rights are addressed separately below. A future subscription price or material renewal change must be disclosed with any notice and consent required by applicable law. A general website edit alone does not authorize an undisclosed recurring charge.
Trials, introductory prices and promotional periods apply only when expressly offered. The duration, later price and cancellation conditions must be shown before you enroll. This sample does not promise that any particular trial, reminder service or promotion is available.
7. Digital delivery and software licenses
Delivery may consist of a download, license key, hosted application access or a link to an independent seller's service. The listing and purchase record describe what is included. Keep a copy of your receipt and the license terms supplied with your product.
Buying a software license generally gives you permission to use the software within the purchased scope. It does not transfer the publisher's ownership of the software or branding. Any source-code ownership, redistribution, installation, transfer or modification rights must be expressly granted in the applicable license or separate written agreement. Open-source components remain subject to their own licenses.
A perpetual or lifetime license, when offered, means the continuing usage right expressly described for that product. It does not automatically promise unlimited future upgrades, permanent hosting, perpetual support or the continued existence of a third-party service. Any ongoing online dependencies must be disclosed in the product terms.
For self-hosted software, you are responsible for your chosen infrastructure, installation, updates, backups and access controls except to the extent a separate agreement assigns those tasks to the provider. Hosting, seat and installation limits depend on the purchased plan. Do not bypass technical restrictions or use another customer's keys.
8. Refunds, failed delivery and billing problems
The Refund Policy and any product-specific refund conditions must be made available before purchase. Contact support with your order reference, the affected product and a description of the issue if you believe a charge is incorrect, delivery failed or the product materially differs from its description.
We will review the request against the purchase terms and applicable legal rights. The fact that an item is digital does not automatically eliminate rights provided by law. This sample establishes no blanket no-refund rule or universal refund deadline.
An approved refund is ordinarily returned through the original payment method where possible; payment-provider processing time may apply. A full refund may end the corresponding hosted access or license entitlement. Partial refunds and their effect on access will be explained for the particular order. Nothing here requires you to give up a lawful payment dispute or other remedy.
9. Sellers and marketplace participation
Selling requires a separate application, an approved seller account and acceptance of the applicable seller agreement. Orbyt's onboarding workflow requires approval of the seller's business profile and required documents before the seller may add products. Requested information must be accurate, current and submitted by an authorized person.
An administrative approval is a platform onboarding decision. It is not a government license, legal opinion, guarantee of identity or promise of a product's quality. Sellers remain responsible for their legal authority to trade, rights to distribute their products, accurate listings, product support and applicable business and tax obligations. Platform obligations are not transferred to sellers by this paragraph.
Commission, payout arrangements, reserves, reversals, tax reporting and payment-provider onboarding must be addressed in the separate seller agreement and applicable provider disclosures. These general Terms of Use do not establish a payout schedule or authorize an undisclosed seller fee. Sensitive business evidence should be submitted through the designated private workflow rather than posted in a public listing or review.
10. Reviews, uploaded material and permitted use
You keep your rights in material you submit. You grant Orbyt permission to store, process and display that material only as reasonably needed to provide the feature you use, operate the platform and meet applicable obligations. Public reviews and listings may be displayed publicly; private support messages and business documents are not made public merely by this permission. Personal information remains subject to the Privacy Policy.
Reviews must reflect honest experience. Disclose relevant incentives or relationships and do not manipulate ratings, referrals or reward programs. Orbyt may remove material that violates published rules and may investigate suspected fraud or abuse. Feedback does not transfer ownership of unrelated confidential information or inventions.
Do not use the platform to distribute malware, stolen software, unlawful content or unauthorized personal data; infringe intellectual property; harass others; impersonate people; manipulate transactions; evade access controls; or disrupt systems. Do not test the security of systems you do not own or have permission to test. Respect applicable trade and export restrictions.
Orbyt's branding and platform materials remain owned by Orbyt or their respective rights holders. Ordinary use of the site does not grant permission to copy its branding or misrepresent an affiliation. Product licenses and applicable law determine any additional rights.
11. Privacy, notices and third-party services
The Privacy Policy describes the collection, use, sharing and retention of personal information. Do not submit information you are not entitled to provide. Organization administrators should inform their members about the access and information they manage.
We may send service messages reasonably needed for account security, purchases, subscriptions, support and material account changes. Marketing preferences and any consent required for promotional messages are handled separately. Providing contact details is not blanket consent to advertising calls or text messages.
An external seller application or linked service may use its own hosting, privacy practices and terms. Review those disclosures before using it. An external link does not, by itself, mean Orbyt controls or endorses that service.
12. Availability, support and account restrictions
Features may be interrupted by maintenance, faults or circumstances outside the provider's reasonable control. No uptime commitment or response-time guarantee is created unless it appears in the applicable paid service agreement. Product support is supplied by the party and through the channels identified for that product.
Where reasonably necessary, we may restrict an account, listing or transaction to respond to suspected fraud, a security incident, unlawful activity, nonpayment or a material violation of the applicable terms. We may act immediately when delay creates a serious risk. Otherwise, where practicable, we will explain the restriction and provide a support route for questions or correction.
Account restrictions do not automatically remove statutory refund rights or erase obligations relating to an existing purchase. Closing an account does not automatically cancel a subscription. Review subscriptions and export information you are entitled to retain before requesting closure. Retention and deletion remain subject to the Privacy Policy and applicable legal duties.
13. Product assurances and responsibility for losses
Express promises in a purchased plan, a product license or a separate service agreement remain relevant. Applicable consumer guarantees and other rights that cannot lawfully be excluded also remain in place.
Subject to those commitments and rights, the marketplace does not promise that every product will suit every environment, that access will never be interrupted or that all third-party information is error-free. Review compatibility and keep appropriate backups before deploying software into a business-critical environment.
Each party remains responsible for losses for which it is legally liable. To the extent permitted by applicable law, Orbyt does not accept liability for speculative or indirect business losses that were not reasonably foreseeable when the relevant contract was made. This does not exclude liability for fraud, deliberate misconduct or any injury, loss or other responsibility that the law does not permit the parties to exclude or limit. This demonstration draft sets no fixed monetary liability cap.
14. Questions, complaints and disputes
Start with Orbyt Support or the Contact page and include enough information to identify the relevant account, order or listing. Do not include a password or complete payment-card details. We encourage good-faith efforts to understand and resolve a complaint.
This sample does not require binding arbitration, waive class proceedings or waive a jury trial. It does not select a governing state or exclusive court location. Applicable law and the rules determining a competent court continue to apply, including protections that cannot lawfully be displaced by contract. An informal support request does not prevent either party from using available legal remedies.
15. Changes and the relationship between documents
The final terms will identify their effective date. Later material changes will be communicated through an appropriate channel with notice and consent where required by law. A change will not be used to remove rights that already accrued or silently rewrite a completed purchase.
Product licenses govern the product rights they expressly grant; seller agreements govern seller-specific participation; and separate signed service agreements govern their stated projects. These general marketplace terms continue to apply to platform use. No document overrides mandatory law, and no additional fee or recurring charge may be imposed without the disclosure and authorization required for it.
If a provision cannot be enforced, the remaining provisions apply to the extent they can operate lawfully without it. A delay in enforcing a provision does not automatically waive it. Questions about these proposed terms can be submitted through Orbyt's Contact page.
